Terms of Service

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a company or organization, you confirm that you have authority to bind it to these Terms. If you do not agree, do not use the Service.

Solicite is a funding-intelligence and matching platform. We help you find, assess, and monitor funding opportunities, and we organize what you are pursuing in one workspace.

Solicite is not a guarantee of any award, grant, or contract. Funding decisions are made by the agencies and programs that run them, not by us, and many factors outside our control affect any outcome. We do not write or submit proposals or applications on your behalf. The work you submit stays yours, and what you do with our intelligence is up to you.

You must be at least 18 years old and able to enter a binding contract to use the Service. The Service is intended for businesses and organizations pursuing funding opportunities.

You are responsible for the information you provide, for activity under your account, and for keeping your sign-in credentials secure. Let us know promptly if you believe your account has been accessed without your permission.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any program or agency rules that apply to you.
• Attempt to access accounts, data, or systems that are not yours.
• Interfere with, disrupt, or place an unreasonable load on the Service.
• Scrape, copy, resell, or redistribute the Service or its content except as we expressly allow.
• Submit material you do not have the right to submit, or that is unlawful or infringing.
• Share or publish your account details with other companies, organizations, or individuals except by inviting them to join as team members.
• Share, publish, resell, or otherwise distribute the intelligence you receive via the application, email notifications, or other means outside your listed or authorized team members.
• Reverse engineer the Service, or use the Service, its outputs, or its intelligence (such as our reports or the Reviewer's Lens) to build, train, or improve a competing product or service.

Paid plans are billed in advance on a recurring basis through a third-party payment processor. Plans are seat-based: each plan includes a number of seats, and you can add seats as your team grows.

Your plan includes a monthly allotment of credits. Monthly credits reset at the start of each billing period and do not roll over. Credits you buy separately in a credit pack do not expire at the end of a billing period; they persist until used. Promotional offers, such as the summer sale, are limited-time seasonal discounts and apply only for the period and on the terms stated when offered.

Unless otherwise stated, fees are non-refundable except where required by law. You can cancel at any time; cancellation takes effect at the end of your current billing period, and you keep access until then. We may change our prices or plans, and we will give you notice of changes that affect your renewal.

The Service, including our software, design, reports, and content, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing.

The materials you submit, such as your product descriptions and briefs, stay yours. You grant us the permission we need to process them so we can provide the Service to you, including running our matching and improving its quality as described in our Privacy Policy. We do not claim ownership of your materials.

The Service draws on third-party and government data sources, including public solicitation and award data. That information is provided to you on an "as is" basis. We work to keep it current and accurate, but we do not control these sources and cannot guarantee that everything is complete, accurate, or up to date. Always confirm important details, such as deadlines and eligibility, against the official source before you act.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

We do not warrant that the Service will be uninterrupted or error-free, and we make no promise about any funding result. Nothing in the Service is a guarantee that you will receive any award, grant, or contract.

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost funding, lost data, or lost opportunities, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim arose.

You agree to indemnify and hold harmless Media Lantern, Inc. and its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your materials, or your breach of these Terms.

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the courts located there for any dispute that is not otherwise resolved.

We may update these Terms from time to time. When we do, we will revise the effective date shown at the top of this page. Your continued use of the Service after a change takes effect means you accept the updated Terms.
